Welcome to the quietspace Terms of Use (“Terms”) agreement. For purposes of this agreement, “Site” refers to the Company’s website. “Service” refers to the Company’s services accessed via the Site. The terms “we,” “us,” and “our” refer to the Company. “You” refers to you, as a user of any nature of our Site or our Service. "You" or "user" refers to any individual or entity that visits, browses, utilizes, or receives services via the Platform in any way . Additionally, "Independent Contractor" or "Contractor" refers to the therapist or counselor providing services through the quietspace Platform. Additionally, For the purposes of this agreement, the terms 'Therapist' and 'Counselor' are used interchangeably and refer to any independent contractor providing therapy, counseling, or related mental health services through the quietspace platform.
By using quietspace, all users of any nature acknowledge their understanding and agreement to these Terms and acknowledge the opportunity to seek independent legal advice. All users are subject to the terms of service outlined herein, and certain sections may apply universally to all users, irrespective of their nature or characteristics. We reserve the right to modify this Agreement by posting changes on the Platform, with all modifications becoming effective upon posting unless otherwise specified. It is advised to regularly review the terms of this Agreement. Your continued use of the Platform after the effective date of changes indicates your acceptance of the modified Agreement. If you disagree with the modifications, you must cease access to the Platform and its services.
SECTION I - LEGAL AGREEMENT
This document sets out quietspace’s Terms of Use. By accessing or using the quietspace service, you signify your agreement to these Terms of Use. If you do not agree to be bound by these Terms of Use in their entirety, you may not access or use the Service.
These terms & conditions constitute a legally enforceable agreement between you and us. This document covers various topics, including but not limited to situations where you may operate the Platforms on behalf of another person, such as a child or someone under your legal authority. In such scenarios, the terms "you" and "your" may also encompass the child or individual under your legal guardianship.
Do not use the platform for medical emergencies. You should not ignore or postpone seeking medical advice from your primary healthcare professional or any other qualified health provider, nor should you substitute or solely rely on quietspace in place of traditional in-person consultations. quietspace advocates for a comprehensive approach to mental health, offering you various options to tailor your therapeutic experience to your unique needs. If you or someone else is potentially in danger, please refrain from using this site. Seek immediate assistance from the emergency resources available in the resources page.
The Platform depends on various factors such as software, hardware and tools, either our own or those owned and/or operated by our contractors and suppliers. While we make commercially reasonable efforts to ensure the Platform's reliability and accessibility, you understand and agree that no platform can be 100% reliable and accessible and so we cannot guarantee that access to the Platform will be uninterrupted or that it will be accessible, consistent, timely or error-free at all times.
If any provision of this Agreement is held by a court of competent jurisdiction to be illegal, invalid, unenforceable, or otherwise contrary to law, the remaining provisions of this Agreement will remain in full force and effect. To clear any doubt, all clauses regarding limitations of liabilities and indemnification shall survive the termination or expiration of this Agreement.
Terms & conditions details the guidelines and conditions for your access and utilization of the Platforms. We reserve the right to update or modify the Terms of Use at any time and we may provide notification of such changes. Your continued use of the Platforms after these changes have been announced indicates your acceptance of the revised Terms of Use.
SECTION II - Therapists
II.1) ABOUT THE SERVICE
As valued members of our team, our therapists enjoy a range of opportunities on our website. They have the privilege of conducting therapy sessions through our online platform, providing clients with accessible and professional mental health care. Additionally, therapists are granted access to contribute insightful and informative content to our blog, sharing their expertise and fostering a sense of community. Our commitment to professional development is reflected in the opportunities that may be provided to therapists, including potential access to seminars, webinars, and clinical workshops that support continuous learning and growth. Moreover, therapists may be given the opportunity to participate in our supervisor/supervisee program if the platform intends on launching it, promoting the continued growth of therapists in training as well as a range of benefits for the supervisor. We believe in empowering our therapists to thrive in their roles while contributing to the broader mission of providing high-quality, accessible mental health services. Details regarding benefits, designed to meet their needs, will be communicated at a later date.
II.2) REGISTRATION AND ACCOUNT:
You (“you”, “Therapist”, "contractor", :independent contractor") should acknowledge and accept the responsibility for maintaining the secrecy of your password and other security details associated with your quietspace account. Frequently update your password to ensure security. Promptly secure your account as it is solely your responsibility to maintain its security.
Be aware that you could be held accountable for any harm or loss resulting from someone else using your quietspace account, authorized or not, and agree to compensate for such harm or loss.
Ensure that your engagement with the quietspace Platform, including services rendered, is directly from you and no one else has access to your profile.
Commit to inspecting any files received from quietspace if any, its Service Providers, or Users for viruses or harmful software before opening them, acknowledging that quietspace is not liable for any damage caused by virus-infected files.
It is PROHIBITED to utilize the quietspace Platform for disseminating unsolicited emails, adverts, harmful software, objectionable or illegal content, or any material that violates intellectual property rights or could instigate legal violations.
II.3) EMPLOYMENT STATUS AND RESPONSIBILITIES
As an independent contractor therapist or counselor providing services through the quietspace platform, you acknowledge that you are not an employee of quietspace but a separate entity responsible for your own methods of service delivery. You agree to provide therapy and counseling services as a therapist or counselor to users of quietspace in a professional and ethical manner consistent with industry standards and applicable legal regulations, we hold no duty of care towards you or the client and are not liable in anyway for the services you deliver on the platform.
You acknowledge that as an independent contractor, you are responsible for your own taxes and financial records. quietspace will compensate you for your services according to the agreed-upon rates and schedules, and you agree to abide by quietspace's policies regarding billing and payments.
You are granted access to the quietspace platform solely for the purpose of delivering therapy and counseling services to its users as well as utilizing the blog to author posts about mental wellness, self-betterment, and constructive advice that in no way holds any negative connotation. This access is non-exclusive and revocable. You agree not to use the platform for any unauthorized or unlawful purposes, and to adhere to quietspace's policies and procedures for platform use.
You understand that you are solely responsible for the care and outcomes of the clients you treat on the quietspace platform. quietspace does not supervise or control your professional judgment or treatment plans, we simply provide a platform for therapists and clients to connect and hold no liability for the quality or outcome of the services delivered. You agree to maintain your own insurance, including but not limited to liability insurance, as appropriate to your practice.
II.4) PROFESSIONAL STANDARDS AND COMPLIANCE
As a therapist or counselor using the quietspace platform, you agree to adhere to the highest professional standards you agree to adhere to the highest professional standards as set forth by your respective licensing boards, professional associations, and legal requirements. This includes, but is not limited to, standards concerning qualifications, continuing education, ethical conduct, and any other professional obligations.
You affirm that you are duly licensed, certified, or accredited as required by your professional governing bodies and local laws, and commit to maintain such qualifications. You agree to comply with all relevant laws and ethical standards applicable to your practice, depending on the country in which you practice[2].
If the therapist's licensure or qualifications are revoked, suspended, or otherwise compromised, the platform may terminate the therapists access to the platform. The therapist is responsible for maintaining all necessary licenses and/or certifications throughout the course of the delivery of services.
You agree to uphold strict confidentiality, patient privacy and informed consent standards as per legal and ethical guidelines, and to protect the personal and health information of your clients accessed through the quietspace platform. You commit to using this data solely for the purpose of providing healthcare services and not disclosing it unless required by law.
In the event of a data breach or any security incident involving client information, it is solely the responsibility of the therapist to manage the situation in accordance with the law and their professional training. quietspace holds no liability or responsibility for the handling of such incidents.
Adherence to any and all Canadian standards of practice and relevant codes of ethics is required. The therapist agrees to adhere to all applicable legal and ethical standards including but not limited to any and all standards regarding the practice in its entirety as well as related to client confidentiality. Therapist has the responsibility to inform clients about their rights regarding confidentiality and privacy.
Adherence to any and all Lebanese and Middle Eastern standards of practice and relevant codes of ethics is required. The therapist agrees to comply with all applicable legal and ethical standards, including but not limited to those pertaining to the practice of therapy in its entirety, as well as standards related to client confidentiality and privacy. The therapist holds the responsibility to inform clients of their rights regarding confidentiality, privacy, and the handling of personal information in accordance with local regulations and professional ethical guidelines in Lebanon and the broader Middle Eastern region.
II.4.1) ETHICAL STANDARDS
Ethical Standards Mandate:
a. Therapists must adhere to ethical principles and guidelines established by their respective regulatory bodies or professional associations, provincially and nationwide.
b. Therapists must maintain client confidentiality, respect autonomy, and ensure informed consent throughout the therapeutic process.
c. Therapists must provide therapy services that are evidence-based, effective, and within the scope of their training and qualifications, The platform holds no liability in terms of the services delivered or the therapeutic methods used. It is hereby understood and agreed by all parties involved that the therapist assumes full responsibility and liability for the therapy services provided, including adherence to legal and ethical standards.
All therapists and counselors utilizing QuietSpace are required to adhere to worldwide, Canadian, Lebanese, and Middle Eastern ethical standards governing the practice of therapy. By agreeing to these Terms of Service, therapists acknowledge their obligation to uphold the highest ethical principles and professional standards in their practice, regardless of jurisdiction, and to comply with the relevant ethical guidelines, legal requirements, and regulations of the region in which they are practicing, including those set forth by local regulatory bodies in Lebanon, the Middle East, Canada, and internationally.
Worldwide Ethical Standards: Therapists must adhere to internationally recognized ethical guidelines and standards of practice for therapy, including but not limited to those established by organizations such as the World Health Organization (WHO).
Canadian Ethical Standards: Therapists must also comply with ethical standards specific to the practice of therapy in Canada. This includes adherence to the codes of ethics and standards of practice established by relevant regulatory bodies or professional associations, such as but not limited to:
Canadian Counseling and Psychotherapy Association code of ethics (CCPA)
College of Registered Psychotherapists of Ontario code of ethics (CRPO)
Provincial Specificity: Therapists practicing within Canada must further ensure compliance with any province-specific ethical standards or regulations governing the practice of therapy in their respective provinces or territories. This includes familiarity with and adherence to any provincial codes of conduct, licensing requirements, or disciplinary procedures applicable to therapists practicing within that jurisdiction.
The Therapist agrees to conduct all professional activities in strict adherence to the ethical standards and regulations set forth by the Lebanese Order of Psychologists (LOPsy) and the Middle East Psychological Association (MEPA). This commitment includes, but is not limited to, the following obligations: Professional Conduct: Upholding the highest standards of professionalism and integrity in all interactions with clients, colleagues, and the broader community. Confidentiality and Privacy: Safeguarding all client information in accordance with LOPsy and MEPA guidelines, ensuring that disclosures occur only when legally mandated or with explicit client consent. Client Welfare and Rights: Prioritizing the well-being and autonomy of clients, ensuring informed consent is obtained for all services, and delivering culturally sensitive care. Scope of Practice: Providing services strictly within the boundaries of the Second Party's professional qualifications, training, and expertise, as defined by LOPsy and MEPA standards. Continuous Professional Development: Engaging in ongoing education and training to maintain and enhance professional competence, staying abreast of advancements in psychological practice. Legal Compliance: Adhering to all applicable Lebanese laws and regulations governing the practice of psychology, including obtaining and maintaining valid licensure as required by LOPsy. The Second Party acknowledges that adherence to these ethical and legal standards is fundamental to the practice of psychology and is a prerequisite for offering services through the First Party's platform. Non-compliance may result in disciplinary action, including termination of the agreement. Failure to adhere to these ethical standards may result in disciplinary action, including termination of access to the quietspace platform. Therapists are expected to conduct themselves in a manner that upholds the integrity of the therapeutic profession and prioritizes the well-being and rights of their clients at all times.
II.5) COMPENSATION, BENEFITS, AND WORK SCHEDULE
You are able to set your session prices for every available service. The revenue share is agreed upon during the application process.
You may have access to participate in seminars, webinars, and clinical workshops upon signing up and conducting your first session if quietspace chooses to offer these services. These educational resources are provided to support your professional development. Additionally, you may have the opportunity to collaborate with and learn from more experienced therapists and industry pioneers, enhancing your skills and knowledge within the therapeutic community. Please note that these complimentary offerings are subject to availability and may be subject to change or termination at the discretion of quietspace.
Therapists acknowledge that quietspace uses third-party payment systems for processing transactions. For the specific goal of disbursing electronic payments to Therapists, quietspace will collect the necessary information based on the Therapist's preference to facilitate their earnings.
As an independent contractor, you are not entitled to any employee benefits, including but not limited to health insurance, retirement benefits, worker's compensation, or unemployment benefits.
The Company is under no obligation to guarantee a minimum amount of work, hours, or payment to the Contractor. Services by the Contractor will be provided solely based on need, as dictated by the availability of Users. It is expected that you adhere to your scheduled sessions and maintain consistent availability as agreed upon, ensuring reliable and quality service to our clients.
Compensation adjustments, if any, will be communicated and agreed upon in accordance with our policy changes and operational requirements.
II.6) CONFIDENTIALITY
You may have access to confidential information related to our platform, technology, business operations, and clients. You agree to treat all such information as strictly confidential and not to disclose it to any third party. This obligation of confidentiality extends to all forms of information, including but not limited to client details (with the exception of emergencies), session content, proprietary software, and any other non-public information obtained during your association with quietspace.
You agree to refrain from modifying, or creating derivative works based on the Platform, as well as from decompiling or disassembling it. You must not alter or remove any copyright or proprietary notices related to the Platform provided by quietspace. You are prohibited from making the Platform accessible for any third-party business operations and from using, or allowing third parties to use, the Platform in the development or support of any competing products or services. Additionally, you must ensure accuracy and honesty in their representation to the Company.
Maintaining client confidentiality is essential for upholding ethical and legal standards. Therapists must commit to safeguarding client information and refraining from disclosing any details about platform features in a manner that violates legal obligations, ensuring preservation of client privacy and trust.
You understand and acknowledge that any breach of this confidentiality obligation may lead to immediate termination of your engagement with quietspace and could result in legal consequences, including but not limited to monetary damages.
Upon the termination of your engagement with quietspace, you agree to promptly return or, at our option, destroy any and all confidential information in your possession or control. This confidentiality obligation survives the termination of your engagement with us.
It is the responsibility of therapists and counselors utilizing our virtual therapy platform to obtain and document client consent for any disclosure of information, including collaboration with other professionals or entities.
QuietSpace holds no liability in matters of confidentiality. Both the client and therapist acknowledge and agree that quietspace does not assume any responsibility for ensuring confidentiality. It is understood that the therapist alone bears the sole responsibility for abiding by legal and ethical standards and maintaining confidentiality.
II.7) ANONYMITY
quietspace prioritizes the privacy and comfort of our clients by offering an anonymity feature. This feature allows clients to engage in therapy sessions with their cameras turned off and their personal information concealed. Instead, only a chosen nickname will be displayed during the session, providing clients with a sense of security and confidentiality.
Information Disclosure: Consent: Clients have the autonomy to choose whether to reveal their identity and personal information during therapy sessions. If a client feels comfortable and wishes to disclose such information, they may do so by giving explicit consent, either verbally or by adjusting their settings within the platform, in rare emergency situations the therapist may choose to access to the clients information if they deem it necessary.
Emergency Situations: In the event of an emergency situation during therapy sessions, it is the sole responsibility of the therapist to manage and address the situation appropriately. quietspace assumes no liability or responsibility for the handling of such emergencies by the therapist. Therapists are expected to adhere to their professional standards and ethical guidelines in managing emergencies while providing services through the platform.
Therapist's Role: To ensure the ethical and responsible use of information disclosure, therapists on the quietspace platform are equipped with a designated button. This button is exclusively intended for the therapist's use in the aforementioned cases: when a client gives explicit consent to reveal information or in the event of a genuine emergency as defined within the therapeutic context. Therapists are expected to exercise discretion and judgment in utilizing this feature, prioritizing the well-being and safety of the client above all else. While the anonymity feature provides a layer of confidentiality, it is essential for clients to understand that honesty and openness are integral to the therapeutic process. Clients are encouraged to communicate openly with their therapists to facilitate a supportive and effective therapeutic relationship.
All liability arising from therapy or counseling sessions, whether conducted anonymously or not, is solely the responsibility of the therapist, and quietspace assumes no liability in this regard. By using our platform, both parties agree to release quietspace and hold it harmless to the maximum extent permitted by law from any and all causes of action and claims resulting from the therapist's services or the use of the platform. This includes, but is not limited to, any act, omission, opinion, response, advice, suggestion, information, or service provided by the therapist, as well as any other content or information accessible through the platform. You understand, agree, and acknowledge that the platform is provided "as is," without any express or implied warranties of any kind, including but not limited to merchantability, non-infringement, security, fitness for a particular purpose, or accuracy. Your use of the platform is at your own risk. To the fullest extent permitted by law, quietspace expressly disclaims all warranties of any kind, whether expressed or implied. You further understand, agree, and acknowledge that quietspace shall not be liable to you or any third party for any indirect, incidental, consequential, special, punitive, or exemplary damages.
quietspace, its affiliates, directors, officers, employees, agents, and representatives (collectively referred to as "quietspace") explicitly disclaim any duty of care towards both clients and therapists utilizing the platform.
By agreeing to these terms of service, you acknowledge and agree that quietspace assumes no responsibility or obligation to exercise care, diligence, or oversight concerning the interactions, communications, or services exchanged between clients and therapists on the platform. quietspace does not guarantee the accuracy, reliability, or effectiveness of the services provided by therapists, nor does it endorse or warrant the qualifications, competence, or conduct of any therapist. Likewise, quietspace does not assume any duty to ensure the safety, well-being, or satisfaction of clients engaging with therapists through the platform.
You understand, acknowledge, and agree that the use of quietspace's platform is at your own risk, and quietspace shall not be liable for any direct, indirect, incidental, consequential, special, punitive, or exemplary damages arising from or related to the use of the platform, including but not limited to any interactions, communications, or services provided by therapists.
This disclaimer of duty of care applies to the fullest extent permitted by applicable law and shall survive the termination or expiration of the terms of service agreement.
While quietspace endeavors to verify the licenses, education, and experience of therapists and counselors on the platform to the best of its ability, it cannot guarantee or warrant the accuracy or completeness of such information beyond reasonable verification measures.
At quietspace, it is the responsibility of therapists utilizing our virtual therapy platform to ensure that they possess the proper licensing, education, insurance, experience, and ability to practice interprovincially across all of Canada, as well as practice worldwide. Therapists must also ensure they meet all licensing, educational, insurance, and practice requirements to operate legally in Lebanon and across the Middle East, in accordance with local regulations and professional standards. While we make every effort to verify the credentials of therapists to the best of our ability, we cannot guarantee the accuracy or completeness of this information. By agreeing to these terms of service, therapists acknowledge that the ultimate responsibility for verifying their credentials rests with them. We assume no liability for any inaccuracies or omissions in the verification process or for the actions, qualifications, or services provided by therapists. Any issues or disputes regarding the qualifications or conduct of a therapist must be addressed directly with the therapist.
It is the therapist's responsibility to ensure that they are legally authorized to practice internationally and that they meet the qualifications and licensing requirements necessary for providing services across borders. Therapists also agree to treat clients anonymously, ensuring confidentiality in all interactions. The therapist assumes all liability for their practice, as the QuietSpace platform solely serves as a connection point between users and therapists, and does not oversee or control the therapeutic services provided.
Therapists utilizing quietspace are expressly prohibited from prescribing, recommending, or engaging in any action that may lead clients, users, or others to the use or prescription of any pharmaceutical drug or substance or anything of the sort. This prohibition extends to both explicit and implicit suggestions, recommendations, or endorsements of pharmaceutical products or substances, whether directly or indirectly related to the therapy provided. Any violation of this prohibition may result in immediate termination of the therapist's access to the platform and may be subject to further legal consequences in accordance with applicable laws and regulations.
II.8) TERMINATION
quietspace may terminate the therapist's access to the platform if there is evidence of professional misconduct, including but not limited to unethical behavior, violation of professional codes of conduct, or any action that brings harm to the clinic's reputation. We reserve the right to terminate the agreement at any time, at its sole discretion, with or without cause. quietspace will provide notice of termination of access to the platform via email or other written communication methods agreed upon in the service agreement.
A Service Provider may choose to terminate their relationship with quietspace by providing written notice as specified in their service agreement. The Service Provider is required to fulfill any outstanding obligations prior to the effective date of termination.
Upon termination, the therapist shall promptly cease providing services on the quietspace platform. Any outstanding payments or fees owed to the therapist will be processed according to the terms of the agreement up to the effective date of termination.
The termination of the agreement does not relieve the Therapist of any responsibilities, obligations, or liabilities that have arisen prior to the termination date, including but not limited to confidentiality and non-disclosure agreements. Additionally, certain provisions of this agreement, by their nature, should survive termination, including but not limited to confidentiality, indemnification, and liability limitations.
Consequences of breaching confidentiality: Consequences of breaching confidentiality are in compliance with the applicable laws and regulations of the jurisdiction in which the therapist practices, whether it be Canadian, Lebanese, or any other relevant Middle Eastern law. Breaching confidentiality may result in disciplinary action, including but not limited to termination of the therapist's access to the QuietSpace platform, legal action, and potential liability for damages, depending on the specific legal requirements of the jurisdiction in which the therapist is located.
II.9) OFFBOARDING PROCEDURES
Therapists should follow therapeutic standards for offboarding. The platform holds no liability for the effectiveness and safety of this process. The processes are such as but not limited to:
a. Assessment: Thoroughly assess the client's progress, goals, and current needs to determine the appropriateness of offboarding. b. Discussion: Engage in open and honest discussions with the client about the decision to end therapy, including reasons for termination and acknowledgment of progress. c. Closure: Facilitate closure by reflecting on the client's therapeutic journey, expressing appreciation for their work together, and providing space for the client to share thoughts or feelings about ending therapy. d. Transition Plan: Collaborate with the client to develop a transition plan that includes referrals to other resources or practitioners, strategies for maintaining progress, and follow-up support as needed. e. Documentation: Document the offboarding process in the client's records, including reasons for termination, discussions held, and agreed-upon transition plan.
Prohibition of Off-Platform Transitioning:
Transitioning clients into off-platform personal clients is strictly prohibited. Therapists must not engage in practices that lead clients to seek therapy services directly from them outside of the quietspace platform. This includes, but is not limited to, soliciting clients for private practice, offering therapy services independent of quietspace to the clients, or otherwise circumventing the platform's terms of service. Failure to comply with these requirements may result in disciplinary action, up to and including termination of access to the quietspace platform as well as legal action taken against the therapist. Therapists are expected to conduct themselves in a manner that upholds the highest standards of professionalism, integrity, and ethical conduct in all interactions with clients.
Furthermore, therapists may transition clients into off-platform clients under specific circumstances, such as when the client's wellbeing is at risk and they explicitly request an in-person visit. In such cases, therapists are required to inform quietspace of the transition to ensure transparency. quietspace only requires to be informed for the purpose of maintaining records. It is understood that the platform holds no liability in such scenarios, whether being the transitioning of clients, or the services as a whole, remains the sole responsibility of the therapists.
II.10) PRICE THRESHOLDS AND ROUNDING
In order to maintain a fair and transparent billing practice, the following rounding rules apply when calculating commissions on session prices set by therapists:
For session pricing, amounts ending in X0 through X5 CAD will be rounded down to the nearest pricing bracket for commission purposes. For example, a session price of 95 CAD will be considered within the 0-99 CAD bracket, and therefore, a commission of 23% will be applied. Prices ending in X6 through X9 CAD will be rounded up to the next pricing bracket. For example, a session price of 99 CAD will be treated as falling within the 100-149 CAD bracket, applying a commission of 25%.
The applicable commission percentage will be calculated based on the rounded session price as per the specified brackets. The purpose of this rounding rule is to simplify the financial processes and ensure consistency in commission deductions across different pricing points. This rounding policy ensures that all financial transactions are processed equitably, reflecting the true intent of pricing tiers as agreed upon in our platform’s usage terms. Therapists are encouraged to set their pricing carefully to align with their desired commission bracket.
SECTION III - Users
III.1) ABOUT THE SERVICE
The Platform enables the connection with a Therapist who will deliver services to you through the Platform, known as "Therapist Services". The Therapists are independent providers and are not considered our employees, agents, or representatives. The Platform's role is solely to facilitate Therapist Services, with the Therapists being responsible for the delivery of these services. If you find that the Therapist Services offered do not meet your needs or expectations, you have the option to switch to another Therapist available through the Platform.
III.2) THERAPIST SERVICES AND PLATFORM USAGE
In the event that a Therapist you were matched with discontinues their use of the Platform, we will notify you via email, allowing you the opportunity to connect with a new Therapist.
While we trust that the Therapist Services can be beneficial, it's essential to understand that they may not be suitable for everyone or every situation. Additionally, they may not serve as a substitute for certain mental health needs that require in-person therapy. We assume no liability regarding the effectiveness or lack thereof of the services provided; this responsibility solely rests with the therapist.
In critical situations such as contemplating suicide, self-harm, harm to others, or any medical emergency, it is imperative to immediately contact your local emergency services and notify the relevant authorities. The Platform is not designed for use in such cases, and Therapists cannot provide the necessary assistance.
Moreover, the Platform is not intended for clinical diagnoses that necessitate an in-person evaluation. If you require official documentation or approvals, such as court-ordered therapy or emotional service dog certification, the Platform should not be used. It is also not a source of information on suitable drugs or medical treatments, and any advice on such matters provided through the Platform should be disregarded.
It is crucial not to neglect, avoid, or delay seeking in-person care from a qualified professional in person if need be.
You acknowledge that the Platform is provided "as is" without any warranties, expressed or implied, regarding merchantability, non-infringement, security, fitness for a particular purpose, accuracy, or effectiveness. Your use of the Platform is at your own risk, and we disclaim all warranties.
To the fullest extent permitted by law, you release us and agree to indemnify us from any claims or actions arising from the Therapist Services or the Platform. This includes any actions, advice, information, or services provided by Therapists or any other accessible content through the Platform.
III.3) USER RESPONSIBILITIES AND AGREEMENT TERMS
You confirm that you have the legal capacity to consent to receive Therapist Services or have obtained consent from a parent or guardian, and are legally eligible to enter into a contract.
Users agree to utilize this website solely for accessing therapy services, mental wellness resources, and the provided blog content related to mental health. Quietspace holds no liability for any other use of the platform or for any advice, direct or indirect, obtained from it. Users acknowledge their responsibility to verify information as necessary and understand that therapists are fully accountable for the services they provide.
You acknowledge and agree that all information provided on the Platform, both past and future, is accurate, truthful, current, and complete. During the term of this Agreement, you commit to maintaining and updating this information to ensure its accuracy.
You are responsible for maintaining the confidentiality of your password and other account security details (collectively "Account Access").
You affirm that you are legally capable of consenting to receive Therapist Services. You also give affirmative consent to the Privacy Policy regarding the collection, processing, and use of personal information, and you acknowledge that consent to Therapist Services remains valid until membership is canceled.
You confirm and agree that all information provided through the Platform, both currently and in the future, is accurate, true, current, and complete. You commit to maintaining and updating this information throughout the term of this Agreement to ensure its accuracy. You acknowledge responsibility for maintaining the confidentiality of your password and other security information related to your account. It is recommended to change your password regularly and take precautions to safeguard it. Quietspace is not liable for any consequences arising from inaccurate or outdated information, and clients are expected to take appropriate action to rectify any mistakes by ensuring their details are consistently accurate and current.
You accept full liability for activities conducted using your Account Access, whether authorized by you or not. You indemnify us for any damage or loss resulting from such use. You commit to using the Platform and Therapist Services solely for personal use and not on behalf of others. Interference with or disruption of our systems, services, or the Platform is prohibited.
Minors under the age of 18 are expressly prohibited from using this website. Furthermore, all users accessing this platform must possess the legal capacity to consent to receive therapy services in accordance with applicable laws and regulations.
III.4) LIMITATION OF LIABILITY AND PLATFORM USAGE
We are not liable for any indirect, incidental, consequential, special, punitive, or exemplary damages. This limitation of liability remains effective after the termination or expiration of this Agreement.
We reserve the right to change or adjust the prices of our services at any time.
We are not liable for any loss or damage resulting from unauthorized account use, whether with or without your consent or knowledge. You accept full responsibility for all activities conducted using your Account Access and agree to indemnify us for any associated damage or loss.
Your use of the Platform, including Therapist Services, is solely for personal use, and you affirm not to utilize the Platform or Therapist Services on behalf of others. Additionally, using another person's account or Account Access for any purpose is prohibited.
You agree not to interfere with or disrupt our systems, services, servers, networks, or the Platform's infrastructure. Unauthorized access attempts are strictly prohibited.
You commit not to use the Platform for unsolicited emails, advertisements, malicious software, or any content that violates applicable laws, infringes third-party rights, or encourages criminal actions. Compliance with local, state, national, or international laws, regulations, or ethical codes in connection with your use of the Platform is mandatory.
g. We cannot guarantee the effectiveness of the quietspace platform or therapy services provided through it. We do not guarantee the reliability of the services provided by therapists. quietspace holds no liability for the content or quality of therapy services delivered by therapists Therapists are independent contractors and separate entities from quietspace; therefore, they bear sole responsibility for the services they provide.
Before using any file received from us or a Therapist, you agree to check and scan it for viruses or malicious software.
You confirm the use of authorized Payment Means, ensuring accuracy and validity of payment-related information. Timely payment of all associated fees and charges, in accordance with the published terms and rates, is your responsibility. Providing your Payment Means authorizes us to bill and charge you through that method, and you agree to maintain accurate Payment Means information in your account.
The reliability and accessibility of the Platform are contingent on diverse elements, including software, hardware, and tools owned and operated by us, our contractors, and suppliers. Despite our diligent efforts to maintain the reliability of the Platform, it is essential to recognize that achieving 100% reliability and accessibility is impractical for any platform. Therefore, we cannot assure uninterrupted access to the Platform or guarantee consistent, timely, or error-free accessibility at all times.
You will indemnify, defend, and hold us harmless from any claims, losses, demands, or liabilities arising from various circumstances, including your Platform use, actions with your account, or violations of this Agreement. This indemnification clause remains effective after the Agreement's expiration or termination.

We do not guarantee the effectiveness or reliability of therapy services provided through our platform. quietspace holds no liability for any damages, losses, or injuries resulting from the use of our platform or therapy services.
Therapists and clients are responsible for their interactions and communications on the platform, and quietspace is not liable for any disputes or issues that arise between them. quietspace holds no duty of care to any user of the platform and assumes no responsibility for monitoring or overseeing therapy sessions. Therapists are independent contractors and separate entities from quietspace, and they bear sole responsibility for the services they provide. Any reliance on information or advice obtained through the quietspace platform is at the user's own risk, and quietspace disclaims any liability for the accuracy or completeness of such information.

By using the quietspace platform, users agree to indemnify and hold quietspace harmless from any claims, damages, or liabilities arising from their use of the platform or services.

III.5) CANCELLATION & REFUND POLICY
Cancellation More Than 24 Hours Before Session: Clients who cancel their booked session more than 24 hours before the scheduled start time are eligible for a full refund of their payment. Upon cancellation, clients will receive an automatic refund equivalent to the full session fee, which may take a few business days to appear on your bank statements.
Cancellation Between 24 Hours and the Start of the Session: Clients who cancel their booked session between 24 hours and the scheduled start time are eligible for a partial refund of 50% of their payment. Upon cancellation within this timeframe, clients will automatically receive a refund equivalent to 50% of the session fee, which may take a few business days to appear on your bank statements.
Refund Process: Refunds will be automatically issued to the original payment method used for the booking. Clients can initiate the cancellation and refund process directly through the quietspace platform by clicking the "Cancel" button next to the scheduled session. Please note that the Service Fee of $4.99 is non-refundable.
Exceptions: In the event of extenuating circumstances, such as emergencies or sudden illness, quietspace may consider exceptions to the refund policy on a case-by-case basis. Please note: quietspace reserves the right to modify or update the cancellation and refund policy at any time without prior notice. By booking a therapy session on quietspace, clients agree to abide by the terms of the cancellation and refund policy outlined above, as well as the terms of use and service as a whole.
A. The Contractor and user acknowledges that the Platform is provided "as is" and "as available," with no warranties of any kind. The Contractor and user waive any claims against the Company regarding the Platform’s users, features, limitations, or compatibility with their needs. The Contractor and user agree not to hold the Company responsible for any services they provide using the Platform. The Company disclaims all warranties, including merchantability, fitness for a particular purpose, non-infringement, compatibility, or accuracy.
B. The Contractor and user use the Platform at their own risk, understanding that there are no guarantees about its performance or the volume of User interactions for the contractor.
C. The Company disclaims warranties for information posted or transmitted by any Users or contractors on the platform.
D. The Contractor assumes all risks and liabilities related to delivering therapy services, and uploading and transmitting material on the Platform, including its accuracy, reliability, effectiveness, and legality.
E. The Company is not responsible for any services obtained through the Platform; the Contractor provides these services at their own risk.
F. The Company will not be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages, including loss of business or profits.
G. The Contractor acknowledges that the Company is not liable for claims or actions by Users related to the services provided by the Contractor. The Contractor will indemnify and protect the Company against any such claims and related damages or expenses.
H. Severability and Reading Down If any provision (or part of a provision) of this agreement is found to be illegal, void, or unenforceable, or if it imposes an obligation or liability prohibited by law, that provision (or part) shall be modified, or read down to the minimum extent necessary to make it valid and enforceable while still aligning with the Parties' original commercial intent.
If modification or reading down under clause H is not possible, the provision (or relevant part) shall be deemed omitted from this agreement. In either case, the remainder of this agreement, including any unaffected portions of the provision in question, shall continue to be valid and enforceable.
Recording of therapy sessions in any way or form is strictly prohibited, and any attempt to publish or disseminate such recordings is prohibited. quietspace bears no liability for any breach of this restriction, or recording or dissemination of therapy sessions.
All users of the QuietSpace platform, including both therapists and clients, are required to adhere to the legal, ethical, privacy, and confidentiality standards that apply to their location and jurisdiction, whether it be Canadian, Lebanese, or any other applicable local law or regulation. It is the responsibility of each user to ensure compliance with the relevant laws and professional standards in their respective jurisdictions.
All therapists using the QuietSpace platform, regardless of location, are required to adhere to both the local legal and ethical standards in their country of practice (such as Canada or Lebanon) and the internationally recognized best practices and ethical guidelines for therapy. This includes but is not limited to privacy, confidentiality, and professional conduct. Therapists hold the responsibility to be educated on all applicable laws, ethics, best practices, and any other requirements necessary to practice in their jurisdiction. By using the QuietSpace platform, therapists agree to assume full liability and responsibility for staying informed, educated, and compliant with these standards and regulations at all times.
By using this platform You acknowledge and agree that we reserve the right to make alterations, suspend, disrupt, or terminate the Platform, any of its components, or your access to it, whether for all users or specifically for you, at our discretion and with or without prior notice. It is understood that we shall not be held liable for any ensuing losses or damages arising from such action
To the maximum extent permitted by law, you hereby release us and agree to hold us harmless from any and all causes of action and claims of any nature resulting from the therapist services or the platform, including (without limitation) any act, omission, opinion, response, advice, suggestion, information, and/or service of any therapist and/or any other content or information accessible through the platform. You understand, agree, and acknowledge that the platform is provided "as is" without any express or implied warranties of any kind, including but not limited to merchantability, non-infringement, security, fitness for a particular purpose, or accuracy. The use of the platform is at your own risk. To the fullest extent of the law, we expressly disclaim all warranties of any kind, whether expressed or implied. You understand, agree, and acknowledge that we shall not be liable to you or to any third party for any indirect, incidental, consequential, special, punitive, or exemplary damages.

These provisions regarding limitation of liability, including but not limited to those outlined throughout these terms of service, shall survive the termination or expiration of this Agreement.
